When I talk to my clients who are entrepreneurs, I stress that estate planning takes on unique importance because they are business owners.  After spending countless hours building and nurturing their business, their business is likely one of their most significant assets. Protecting that investment within their estate plans is crucial. With that in mind, let me explain how estate planning for entrepreneurs can help protect your business to ensure that it continues to thrive in your absence, whether due to incapacity or death.

Why Entrepreneurs Need Estate Planning

If you own a business, your business may represent a substantial portion of your net worth, and its continuity could affect not only your family but also your employees and clients. Without a comprehensive estate plan in place, the future of your business may be uncertain, potentially leading to its closure, unnecessary tax burdens, or disputes among your heirs if something happens to you. Incorporating your business into your estate plan allows you to address issues such as:

  • Who will manage your business if you are no longer able to?
  • How will your business be valued and distributed among your heirs?
  • How can you minimize taxes to preserve the value of your estate?
  • What legal structures can protect your business assets?

Key Components of an Entrepreneur’s Estate Plan

Taking the time to create an estate plan offers numerous benefits for entrepreneurs, including providing for loved ones, protecting the value of your business, ensuring its continuity, and minimizing the potential for disputes. Most importantly, incorporating your business into your estate plan allows you to leave a lasting legacy, preserving the fruits of your labor for future generations. To create an effective estate plan as an entrepreneur, consider including the following elements:

  • A Will or Trust: A Last Will and Testament serves as the foundation of most estate plans, ensuring that your assets are distributed according to your wishes. For business owners, however, a trust often offers greater flexibility and benefits. For instance, a revocable living trust can allow your business to bypass probate, providing a smoother transition for your successors.
  • Business Succession Plan: A business succession plan is essential for outlining how your business will be transferred or managed after your death or incapacity. This plan may involve appointing a successor, establishing a Family Limited Partnership (FLP), setting up a buy-sell agreement, or otherwise arranging for the sale of the business. Clear instructions can prevent disputes and ensure continuity.
  • Power of Attorney: Designate a trusted individual as your agent under a financial Power of Attorney to manage your business affairs if you become incapacitated. Without this, your business could be left in limbo, potentially causing financial harm.
  • Life Insurance: Life insurance can provide liquidity to cover expenses such as estate taxes, debts, and operational costs for your business. It can also be used to fund a buy-sell agreement or provide financial support to your family.
  • Tax Planning Strategies: Proper tax planning is essential to minimize estate and gift taxes. Strategies such as gifting shares of your business during your lifetime or setting up a Family Limited Partnership can reduce the tax burden on your estate.
  • Beneficiary Designations: Ensure that the beneficiary designations on accounts such as retirement plans and life insurance policies align with your overall estate plan. These designations override instructions in your Will, so they must be updated regularly.
